1. Welcome

Thank you for choosing QuickShops.

These Terms of Service ("Terms") govern your access to and use of our cloud-based platform that allows you to create and manage online stores.

By registering for or using our services, you agree to these Terms.

If you have questions, we are happy to clarify them before you proceed.

2. About Our Service

We provide software tools that enable you to:

  • Build and customize an online store
  • List and manage products
  • Process orders
  • Integrate payment providers
  • Connect third-party applications
  • Access hosting and technical infrastructure

We act solely as a technology provider. We are not a party to transactions between you and your customers.

3. Eligibility

You may use the Service if:

  • You are at least 18 years old
  • You are legally capable of entering contracts
  • You operate in compliance with applicable laws

If you use the platform on behalf of a business, you confirm you are authorized to bind that business.

4. Your Account

You are responsible for:

  • Keeping your login credentials secure
  • Providing accurate account information
  • Activities carried out through your account

If you believe your account has been compromised, please notify us immediately.

5. Your Responsibilities as a Merchant

As the operator of your online store, you are independently responsible for:

  • The legality of products or services offered
  • Product descriptions and pricing accuracy
  • Consumer rights compliance (returns, refunds, warranties)
  • Tax obligations (VAT, duties, reporting)
  • Compliance with GDPR or other data protection laws regarding your customers

We provide infrastructure, but you remain the legal seller in transactions with your customers.

6. Acceptable Use

We expect our platform to be used responsibly.

You agree not to:

  • Sell illegal or prohibited goods
  • Engage in fraudulent activity
  • Infringe intellectual property rights
  • Distribute harmful software
  • Mislead consumers
  • Violate sanctions or trade restrictions

If serious violations occur, we may suspend access after reasonable notice where possible.

7. Fees and Payment

7.1 Subscription Fees

Fees are clearly displayed on our pricing page.

7.2 Billing

Subscriptions renew automatically unless canceled before renewal.

7.4 Late Payments

If payment fails, we will notify you and provide an opportunity to resolve the issue before suspension.

8. Intellectual Property

8.1 Our Platform

All software, design, code, and trademarks remain our property or that of our licensors.

You receive a limited, non-exclusive license to use the platform for your business purposes.

8.2 Your Content

You retain ownership of the content you upload (logos, products, images, descriptions).

You grant us a limited license to host and display your content solely to operate and improve the service.

9. Data and Backups

You retain ownership of your store data.

We take reasonable technical and organizational measures to protect it.
However, we recommend maintaining independent backups of critical business information.

10. Third-Party Services

Our platform may integrate with third-party services such as payment processors or shipping providers.

Your use of those services is subject to their own terms and privacy policies.

We are not responsible for third-party services, but we aim to integrate only reputable providers.

11. Service Availability

We aim to provide a reliable and secure service.

Occasionally, maintenance, upgrades, or unforeseen events may result in temporary interruptions.
We will make reasonable efforts to minimize disruption.

We do not guarantee uninterrupted or error-free operation.

12. Suspension and Termination

You may cancel your subscription at any time through your account.

We may suspend or terminate accounts if:

  • There is serious or repeated violation of these Terms
  • Required by law
  • Necessary to protect the platform or other users

Where possible, we will provide prior notice and an opportunity to resolve issues.

13. Limitation of Liability

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

To the extent permitted by law:

  • Our liability is limited to the total fees paid by you in the previous 12 months.
  • We are not liable for indirect or consequential losses, such as loss of profits or business interruption.

This limitation reflects the nature of a software subscription service.

14. Indemnification

You agree to indemnify us for claims arising directly from:

  • Your products or services
  • Your violation of law
  • Your breach of these Terms

This ensures responsibility remains with the merchant for business operations.

15. Governing Law

These Terms are governed by the laws of Finland.

Disputes shall be submitted to the competent courts of Helsinki, Finland.

If you contract with consumers, mandatory consumer protection laws may apply.

16. Changes to These Terms

We may update these Terms to reflect legal, technical, or business changes.

We will notify users of material changes. Continued use after notification constitutes acceptance.
